1. General Site Terms & Account Usage

1.1 Account Registration & Confidentiality

To access certain features of the Site, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are solely responsible for safeguarding your account credentials. You may not share or transfer your account credentials to any third party, except to immediate members of your household. You must notify COMBINE immediately at support@combinebaseball.com of any unauthorized use of your account. COMBINE is not liable for any losses caused by unauthorized use of your account.

1.2 Incorporating Policies & Community Rules

Your use of the Site is governed by these Terms and our incorporated policies. You agree to adhere strictly to our Community Guidelines. Failure to follow these rules may result in soft-deletion/hiding of your content, suspension of account privileges, or permanent account termination.

1.3 Age Limitations & Minors

If you are under 18 years of age, you may only use the Site and subscribe to paid services with the involvement and active consent of a parent or legal guardian.

Athletes Under 13. Profiles for athletes under the age of 13 are not discoverable by coaches, scouts, or other subscribers by default, and cannot be made discoverable by the athlete or by any account other than a verified parent or legal guardian.

An under-13 athlete's profile becomes discoverable only when all of the following are on record and remain in force:

1. The guardian has marked the profile as public;
2. The guardian has granted public directory consent for that athlete; and
3. Verifiable parental consent under COPPA has been obtained from the guardian through payment card verification.

If any of these is absent, withdrawn, or revoked, the profile ceases to be discoverable. These conditions are enforced by the Site and cannot be bypassed through the application interface.

Athletes aged 13 and above are discoverable only where the guardian has marked the profile public and granted the relevant consent.

1.4 Intellectual Property & Limited License

All content on the Site—including videos, text, graphics, statistical data, user interfaces, software, logos, and designs ("Site Content")—is owned by COMBINE or its licensors and is protected by United States and international copyright, trademark, and intellectual property laws.

Subject to these Terms and your subscription tier, COMBINE grants you a limited, non-exclusive, non-transferable, revocable license to access and view Site Content for your personal, non-commercial use. Except as explicitly authorized in writing by COMBINE, you shall not:

• Copy, stream, capture, download, archive, or scrape any Site Content;
• Sell, lease, rent, broadcast, transmit, or redistribute any Site Content;
• Decompile, reverse engineer, or modify any part of the Site; or
• Create derivative works based upon the Site Content.

2. Platform Features & System Enforcement

2.1 Message Board Rules & Moderation

The Site offers interactive discussion boards ("Message Boards").

Subscription Requirement: Creating topics, replying, and reading full discussions on the Message Boards require an active paid subscription (Single tier or above). Visitors and Free (Walk tier) accounts may see a public preview consisting of board categories, topic titles, reply counts, and a short excerpt of up to 140 characters from the opening post of each topic. The full text of posts and replies, and the identity of their authors, are visible only to subscribers. Hidden or moderated topics never appear in the public preview.

Enforced System Limits: To prevent spam and abuse, the platform automatically enforces hard limits:

• Topic Limit: Users may create a maximum of 3 new topics per 24 hours (Directors and Administrators are exempt).
• Post Limit: Users may create a maximum of 10 posts per 5 minutes.

Soft-Deletion & Retention: Content on the Message Boards is never hard-deleted by moderators. Moderated or flagged content is hidden, and the identity of the moderator, the time, and the stated reason are retained. You acknowledge that hidden content and per-user read history (which threads you have read, and when) are retained in our database for audit, security, and administrative purposes.

2.2 Direct Messaging (DM) System

The Site includes a private direct messaging tool. By using Direct Messaging, you understand and agree to the following structural limitations:

Accept-First Anti-Harassment Model: You may send only one (1) unsolicited initial message to a user with whom you do not have an existing thread. No further messages can be transmitted until the recipient accepts the conversation request.

Symmetric Blocking: Blocking another user creates a mutual block. Neither you nor the blocked user will be able to initiate contact or view messages from each other.

Rate Limits: System rules enforce a maximum of 10 new conversation threads per hour per user.

ADMINISTRATOR ACCESS TO REPORTED MESSAGES: Private messages are confidential between users. HOWEVER, FILING A REPORT AGAINST A PRIVATE CONVERSATION OR MESSAGE GRANTS COMBINE ADMINISTRATORS EXPLICIT AUTHORIZATION TO ACCESS, READ, REVIEW, AND RETAIN THE ENTIRE CONVERSATION HISTORY ASSOCIATED WITH THAT REPORT. Administrators cannot browse private messages indiscriminately; access is unlocked exclusively by an open report.

Message Retention: Sent messages cannot be edited or deleted by users. Moderated messages are hidden rather than permanently destroyed.

2.3 Peer-to-Peer Classified Marketplace

The Site offers a classified listing service ("Marketplace") allowing users to post items for sale.

COMBINE PROVIDES A CLASSIFIED ADVERTISING VENUE ONLY. COMBINE DOES NOT PROCESS PAYMENTS FOR MARKETPLACE ITEMS, DOES NOT HOLD ESCROW, DOES NOT OFFER BUYER OR SELLER PROTECTION, AND DOES NOT HANDLE SHIPMENT OR DELIVERY. ALL TRANSACTIONS, PAYMENTS, AND DELIVERIES OCCUR ENTIRELY OFF-PLATFORM BETWEEN INDEPENDENT USERS. COMBINE DISCLAIMS ALL LIABILITY FOR THE CONDITION, SAFETY, LEGALITY, ACCURACY, OR QUALITY OF ITEMS LISTED, AND COMBINE IS NOT RESPONSIBLE FOR RESOLVING TRANSACTIONAL DISPUTES BETWEEN BUYERS AND SELLERS.

Eligibility: Posting an item for sale requires an active paid subscription (Single tier or above). Browsing and purchasing items is open to any signed-in user (Walk tier or above).

Listing Rules: Sellers may upload a maximum of 7 photographs per listing. Sellers represent and warrant that they possess legal ownership and rights to sell any listed item. Prohibited items (illegal goods, counterfeit equipment, weapons, hazardous materials) are strictly banned.

Listing-Attached Messages: Message threads attached directly to a Marketplace listing automatically terminate 14 days after an item is marked sold, or immediately if a moderator hides the listing.

Moderation: Inappropriate or fraudulent listings will be hidden by moderators with audit records retained.

2.4 Unified Reporting System

Users may file reports against platform content across eight target types: Board Posts, Board Topics, Direct Messages, Message Threads, Marketplace Listings, Athlete Profiles, Videos, and Users.

Categories: Reports are categorized under: child safety, content naming a minor, harassment, unwanted contact, inappropriate content, spam, or other.

Child Safety Priority: Reports filed under child safety or content naming a minor are programmatically prioritized at the top of administrative review queues. System status (open, actioned, dismissed), reviewer identity, and reviewer notes are permanently logged.

3. Subscription Services Terms

3.1 Subscription Tiers

COMBINE offers both free access and paid subscription tiers. The official membership tiers available on the Site are:

• Walk (Free User Account)
• Single (Paid Subscription)
• Double (Paid Subscription)
• Triple (Paid Subscription)
• Homerun (Paid Subscription)

Features, access levels, and pricing for each tier are detailed on our pricing page and during checkout. COMBINE reserves the right to modify subscription features or adjust pricing with 30 days' advance notice posted to the Site or sent to your registered account email.

3.2 Recurring Billing & Cancellation

Automated Billing. Subscription fees are billed on a recurring basis (monthly or annually, depending on the selected plan) through our payment processor, Stripe. Fees are billed at the beginning of each billing cycle to the payment method provided at checkout, and your subscription renews automatically until cancelled.

Cancellation. You may cancel your subscription at any time. Cancellation stops all future billing and takes effect at the end of your current paid period. You will retain full access to your subscription tier for the remainder of that period, after which your account reverts to the free Walk tier.

Cancelling does not entitle you to any refund, credit, or partial repayment for the remaining portion of the period. See section 3.3.

Your athlete records are not affected by cancellation. Measurements recorded at COMBINE events and sessions belong to the athlete's record and are retained. Cancellation changes which features and history you are able to view; it does not delete measurements, and any video previously uploaded remains accessible to you.

3.3 Refund Policy

ALL SUBSCRIPTION FEES ARE FINAL AND NON-REFUNDABLE.

COMBINE does not issue refunds, credits, or partial repayments under any circumstances, including but not limited to:

• Cancellation before the end of a paid billing period
• Unused or partially used subscription time
• Downgrading to a lower tier
• Suspension or termination of your account for breach of these Terms or the Community Guidelines
• Termination of your account or subscription by COMBINE for any other reason
• Non-use of the Site during a paid period

You acknowledge that cancellation of future billing is your sole remedy for any dissatisfaction with the Site, its content, or its features.

3.4 Third-Party Payment Processing & Runtime Infrastructure

Stripe: COMBINE utilizes Stripe, Inc. for secure payment processing (subscriptions and event registrations). COMBINE does not store raw credit card numbers. Your payment details are governed by Stripe's privacy policy and terms.

Lovable Hosting: COMBINE's web application is hosted on Lovable. In the event of system errors or page failures, technical diagnostics and error logs are transmitted to Lovable to assist in application maintenance.

3.5 Event Registration

COMBINE operates in-person events, including prospect days and testing sessions ("Events"). Event registration is separate from any subscription and is not included in any subscription tier.

Waiver Required. Registration for an Event requires a parent or legal guardian to review and sign the participation agreement in force at the time of registration. The signature, the version of the agreement signed, the date, and the network address from which it was submitted are recorded permanently. An athlete may not participate in an Event without a recorded signature.

Photo and Video Release. The photo and video release is a separate and optional decision from the participation agreement. Registration does not require it, and declining it does not affect participation.

Payment and Capacity. Event fees are set per Event and shown before you commit. Paid Event registrations are held provisionally for a limited period while payment is completed; if payment is not completed within that period, the place is released and made available to others.

Age and Metric Eligibility. Certain measurements have minimum ages. An athlete will only be measured on metrics for which they are eligible on the date of the Event.

4. User Submissions & Video Uploads

When you upload or submit videos, metrics, performance logs, text, or graphics ("User Submissions") to the Site, you retain underlying ownership of your original content.

However, by submitting content to COMBINE, you grant COMBINE a worldwide, non-exclusive, royalty-free, perpetual, sublicensable license to host, reproduce, edit, format, display, perform, and distribute such User Submissions in connection with operating, promoting, and delivering the Site's services.

You represent and warrant that:

• You own or have secured all necessary rights, licenses, and permissions (including parental permissions where applicable) to post the User Submission; and
• The User Submission does not violate third-party copyrights, privacy rights, or publicity rights.

5. Copyright Infringement (DMCA Notice)

COMBINE respects the intellectual property rights of others and responds to notices of alleged copyright infringement in accordance with the Digital Millennium Copyright Act (DMCA).

If you believe that any material on the Site infringes your copyright, please send a written notification to our designated DMCA Agent:

Your notice must include:

1. A physical or electronic signature of the person authorized to act on behalf of the copyright owner;
2. Identification of the copyrighted work claimed to have been infringed;
3. Identification of the material claimed to be infringing and its location on the Site;
4. Your contact information (address, phone number, and email);
5. A statement that you have a good faith belief that the disputed use is unauthorized; and
6. A statement made under penalty of perjury that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.

6. Disclaimers, Indemnification & Limitation of Liability

6.1 Disclaimers

THE SITE AND ALL CONTENT, FEATURES, AND MARKETPLACE LISTINGS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. COMBINE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. COMBINE DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

6.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COMBINE BASEBALL LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, MESSAGE BOARDS, DIRECT MESSAGES, OR MARKETPLACE. COMBINE'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO COMBINE IN THE FOUR (4) MONTHS PRECEDING THE CLAIM.

6.3 Indemnification

You agree to indemnify, defend, and hold harmless COMBINE, its officers, directors, employees, and agents from and against any third-party claims, liabilities, losses, damages, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your breach of these Terms or the Community Guidelines;
• Your User Submissions or Marketplace listings; or
• Your conduct, off-platform transactions, or interactions with other COMBINE users.

7. Governing Law, Venue & Disputes

These Terms and any disputes arising from or related to your use of the Site shall be governed by and construed in accordance with the laws of the State of Alabama, without regard to its conflict of law principles.

You agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Alabama, and you hereby consent to personal jurisdiction in such courts.

Claim Limitation: Any cause of action or claim you may have arising out of or relating to the Site or these Terms must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action or claim is permanently waived.

8. General Terms

Severability: If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be severed, and the remaining provisions shall remain valid and enforceable.

No Waiver: COMBINE's failure to enforce any right or provision of these Terms shall not constitute a waiver of future enforcement of that or any other right.

Entire Agreement: These Terms, together with the Privacy Policy, COPPA Notice, and Community Guidelines, constitute the entire agreement between you and COMBINE regarding the Site and supersede all prior agreements.
